These Terms & Conditions (“Terms”) govern your access to and use of the JobsAlley web application, websites and related services (collectively, the “Service”), operated by IQuest Solutions Private Limited (“IQuest”, “we”, “us” or “our”). JobsAlley is a product of IQuest. By creating an account, subscribing to a plan, or otherwise using the Service, you (“you”, “Customer” or “Subscriber”) agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

JobsAlley is a multi-tenant Software-as-a-Service (SaaS) platform for recruitment, human resources, time & attendance, payroll and client billing, delivered over the internet on a subscription basis. Each Customer is provisioned an isolated workspace, typically accessible at a dedicated subdomain (for example, yourcompany.jobsalley.com).

2. Eligibility & accounts

• You must be at least 18 years old and capable of entering into a binding contract.
• You are responsible for the accuracy of the information you provide at sign-up and for keeping it current.
• You are responsible for all activity that occurs under your workspace and user accounts, and for maintaining the confidentiality of login credentials.
• You must notify us promptly of any unauthorised use of your account.

3. Subscriptions, fees & billing

• Paid plans and their fees are described on our Pricing page. All fees are stated in Indian Rupees (INR) and are exclusive of applicable taxes (including GST), which will be added where required.
• Subscriptions are billed on a recurring basis (for example, monthly) in advance. Payments are processed through our third-party payment gateway; by subscribing you also agree to the payment provider’s terms.
• You authorise us and our payment provider to charge your chosen payment method for the applicable fees until you cancel.
• Plan limits (such as number of employees or platform users) are described on the Pricing page. Exceeding a limit may require an upgrade.
• Refunds and cancellations are governed by our Refund & Cancellation Policy.

4. Acceptable use

You agree not to, and not to permit any user to:

• use the Service in violation of any applicable law or regulation;
• upload or process data you do not have the right to process, or that infringes any third-party rights;
• attempt to gain unauthorised access to the Service, other tenants’ data, or related systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, resell, or sublicense the Service except as expressly permitted; or
• upload malicious code or use the Service to transmit unlawful, harmful or objectionable content.

5. Customer data

• As between the parties, you own the data you and your users submit to the Service (“Customer Data”).
• You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Service.
• You are responsible for the lawfulness of Customer Data and for obtaining any consents required from your employees, candidates and other data subjects.
• Our handling of personal data is described in our Privacy Policy.

6. Intellectual property

The Service, including all software, design, text, and trademarks (including the “JobsAlley” name and logo), is owned by IQuest or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription; no other rights are granted.

7. Third-party services

The Service may integrate with or rely on third-party services (including payment gateways, email and infrastructure providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

8. Availability & support

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted operation. We may perform maintenance, and we may modify or discontinue features. Support is provided as described on the Pricing page for your plan.

9. Suspension & termination

• You may cancel your subscription at any time as described in the Refund & Cancellation Policy.
• We may suspend or terminate your access for non-payment, breach of these Terms, or where required by law.
• On termination, your right to use the Service ends. You may request an export of your Customer Data within a reasonable period before it is deleted in the ordinary course.

10. Warranties & disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. JobsAlley is a tool to help you manage HR, payroll and billing; you remain responsible for your statutory filings and compliance.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages, or loss of profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the fees paid by you to us in the two (2) months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold IQuest harmless from claims arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of any law or third-party right.

13. Governing law & jurisdiction

These Terms are governed by the laws of India. Subject to any applicable law, the courts at Hyderabad, Telangana shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
